Mr. Aiden Zhao specializes in cross-border investments and Acquisitions (FDI and ODI) practice. In the area of foreign investment, he has advised Hong Kong and foreign investors for their investments and operations in China (wholly foreign-owned enterprises or joint ventures) such as legal due diligence, negotiations, set-up, capital injection, share transfer and financing and he is familiar with the foreign exchange policy of China. In the area of offshore investment, he has advised Chinese clients on conducting legal feasibility of the investment destination, preparing transaction structuring and documentation, advising on government approval, filing and registration, and liaising with overseas service providers. He also provides legal services to various institutional investors (PE/VC) for their investment projects.
Aiden has provided legal services for many large Chinese/foreign banks and other non-bank financial institutions. The scope of services includes domestic bank facilities, syndicated loans, project financing, importing purchaser’s/exporting seller’s credit business, supply chain finance, bank factoring and commercial factoring, external securities and mortgage, and debt restructuring. He has also advised a number of enterprises and foreign banks on the foreign exchange registrations in China and providing legal support on the compliance of banks and non-bank financial institutions in Hong Kong and the Mainland China.
Aiden also has extensive experience in overseas capital market practice. Acting as legal counsel for issuers or sponsors, he has provided legal services for various types of companies in their IPOs in Hong Kong and in capital markets of other jurisdictions, and advised on the red-chip / VIE reorganisation, ESOP and other core issues in the reorganisation prior to IPO. He has also advised on the acquisition of Hong Kong listed company.
Aiden is qualified PRC lawyer and solicitor of Hong Kong.
