James Guo is a partner at AllBright Law Officesin Shanghai.His practice areas includereal estate, financial derivatives and dispute resolution. Mr. Guo formerly worked in the real estate industry andis familiar with the laws and regulations applicable in the fields of real estate and construction projects. He hasprovided dozens of developers (investors) with legal services for theprimary land development, joint real estate development, building project construction, real estate transactions, project As, project financing, commercial property operation, real estate mortgage, and shareholder dispute during the entireprocess of real estate projects. He has alsoprovided developers (investors) with legal training on the development, marketing and risk control of real estate projects.

Mr.Guo is highly experienced with respect to theinvestment and trading of commodity futures like energy, non-ferrous metal, precious metal and farm produces. He once took part in the research on the legislation of financial futures and research on CSI 300 stock index futures and treasury bond futures, and is familiar with the operation mechanisms of the futures market as well as relevant laws and trading rules of commodity futures and financial futures. In connection with serving as legal counsel for many futures companies, he hasadvised oncorporate As, capital increase, establishment of sales offices, asset management business, and the founding of hedge funds. He also participated in the formulation of trading rules with respect tobulk commodity exchanges or markets,and provided legal training on the risk control of futures investments.

Mr.Guo is also very experienced in litigation and arbitration. He hashandled many cases related to disputes over entrusted securities management and treasury bond repurchases.

Prior to joining AllBright in 2003, Mr. Guoworked at another major Shanghai law firm.

Mr. Guo graduated from East China University of Political Science and Law with an LL.B. in 1990 and graduated from Fudan University with a master’s degree in economics.

Mr. Guo is a practicing lawyer in China andis qualified as an independent director for listed companies by the China Securities Regulatory Commission (CSRC). His working languages are Mandarinand English.
