David’s main practice area is Corporate and M&A.

David has extensive experience in M&A. He has advised international and domestic clients on numerous complicated acquisition and investment projects (including acquisition of controlling equity interests and purchase of non-controlling equity interests) where he supports the clients by/with: (a) conducting legal due diligence review of target companies/assets; (b) assistance in determining the project structure; (c) drafting and reviewing all required legal documents (including letter of intent, master purchase agreements, equity interests transfer agreements, Technology/IPRs transfer agreements, Technology/IPRs transfer agreements, transitional services agreement, and other documents); (d) representation in negotiation; (e) assistance in execution; (f) assistance in closing the transaction; (g) assistance in post-acquisition integration. As to the acquisition and investment projects, he has rich experience in both representing the buyers and representing the sellers.

As to data and technology, David advises the clients on their acquisition of tech-intensive business/assets, advises the clients on data and privacy matters, technology services, technology development, technology transfer and technology license.
