國際仲裁要案速遞：上海雖并非法域，但仍可作為仲裁地
作者：劉炯 湯旻利 2020-01-19去年，新加坡高院在BNA訴BNB一案中作出的判決在國際仲裁界著實引起了不小波瀾。該案中的仲裁條款約定：
14.1 This Agreement shall be governed by the laws of the People’s Republic of China.
14.2 With respect to any and all disputes arising out of or relating to this Agreement, the [p]arties shall initially attempt in good faith to resolve all disputes amicably between themselves. If such negotiations fail, it is agreed by both parties that such disputes shall be finally submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in Shanghai, which will be conducted in accordance with its Arbitration Rules. The arbitration award shall be final and binding on both [p]arties.
即，當事人約定主合同的準據法是中國法，但并未就仲裁條款約定準據法，而僅約定按照SIAC規則在上海仲裁。新加坡高院法官認為雖然當事人作出了“arbitration in Shanghai”的約定，但由于上海并非一個法域，因此不應視作是當事人針對仲裁地的約定。在當事人未就仲裁地進行約定的情況下，應當根據SIAC規則第18.1條的規定，認定仲裁地為新加坡。
在國際仲裁中，一般認為arbitration in xx（地點）的約定即為對仲裁地的約定。比如臨時仲裁中，非常常見當事人僅約定arbitration in London，則仲裁地應為英國。此類約定中，對于地點的約定并不必然強調必須是一個獨立的法域（當然，從謹慎的角度，約定一個法域更為妥當）。而新加坡高院在BNA訴BNB一案中特別強調若當事人約定的地點并非獨立法域，則不應視作對于仲裁地的約定。此類對于仲裁地的解讀著實嚴格，因此也引起了國際仲裁界的關注及爭論。
該判決簽發后，當事人BNA即向新加坡上訴法院提出了上訴。最近，新加坡上訴法院對此作出了判決，就仲裁地的問題，新加坡上訴法院推翻了新加坡高院的判決，認為上海是仲裁地，對此法院認為“The natural reading of the phrase “arbitration in Shanghai” is that Shanghai is the seat of the arbitration, and there are no contrary indicia to point away from this natural reading.”，即當沒有任何相反跡象時，對于“arbitration in Shanghai（在上海仲裁）”的自然解讀就應該是上海為仲裁地。
新加坡上訴法院進一步認定，由于仲裁地為上海，且仲裁條款的適用法應為中國法，故而對于仲裁程序的監督權應由中國法院而非新加坡法院行使。
