Carl Miao is a partner at AllBright in Shanghai and senior consultant in Hong Kong.

Mr. Miao focuses his practice on the formation of onshore and offshore investment funds, investment transactions by private equity funds, mergers and acquisitions, and capital market and start-up business legal services. Carl has advised numerous established private equity funds, sovereign wealth funds, listed companies and start-up businesses, covering a wide spectrum of industries including technology, media, communications, retail, manufacturing, healthcare, mining and resources, infrastructure, and real estate.

Mr. Miao has extensive experience in the formation of offshore investment funds. He advised on the formation of angel funds, venture capital funds, private equity funds, infrastructure funds, mining and resources funds, open-ended hedge funds, parallel funds, joint venture funds, deal by deal financing projects and carried interest schemes. Mr. Miao has also acted on behalf of sovereign wealth funds to advise on their investments in funds as limited partners.

Mr. Miao is also experienced serving as PRC legal counsel for IPOs on both the Shenzhen and Hong Kong stock exchanges.

Mr. Miao has advised a number of start-up businesses on a wide range of matters, including shareholders’ agreements among founders, employee stock option programs (ESOP), compliance analysis of innovative business models, and the establishment of legal risk control systems, etc.

Prior to joining Allbright, Mr. Miao worked for many years at a well-known PRC law firm and a London law firm.

Mr. Miao was admitted to the Fudan University School of Law in 1998 and continued his study at the City University of Hong Kong from 1999, sponsored by the Hong Kong Jockey Club Scholarship. After receiving his bachelor’s degree with first class honors from City University in 2002, Carl received a master’s of philosophy degree from Chinese University of Hong Kong in 2004.

Mr. Miao is committed to social responsibility. He serves on a committee of the All-China Youth Federation (Ningbo) and a committee of the Chinese People's Political Consultative Conference (Ningbo Haishu District). Mr. Miao is an active committee member of various Ningbo associations of townsmen in Hong Kong.

Mr. Miao is a practicing lawyer in Mainland China and a solicitor in Hong Kong. His working languages are Mandarin and English. He also speaks Cantonese, Shanghai dialect and Ningbo dialect.
